Directors´ dealings are transactions in shares of their own company made by members of the board of any publicly quoted company or any person legal or natural close to them by blood or otherwise. In Germany these must be registered under the WpHG (German Securities Trading Act).

This requires that board and supervisory board members and other senior managers of Rücker AG with regular access to insider information who are entitled to take major managerial decisions must register all their transactions involving Rücker AG shares or associated financial instruments both with the company and with the Bundesanstalt für Finanzdienstleistungsaufsicht (BaFin) [German Financial Supervision Agency].

This obligation also covers persons close to the aforesaid persons such as spouses and dependant children as well as legal persons, companies and establishment in which any such manager/director has any managerial or control function.
